PLEASE READ VERY CAREFULLY THESE TERMS AND CONDITIONS AND THE FAQ BEFORE REGISTERING FOR THE G-AJIRI ONLINE SERVICES PROGRAM. PARTICIPATION IN THE G-AJIRI ONLINE SERVICE PROVISION INDICATES THAT YOU ACCEPT THESE TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS, PLEASE DO NOT REGISTER FOR OR PARTICIPATE IN THE G-AJIRI FREELANCE ONLINE SERVICE PROGRAM.

Introduction. This agreement ("Agreement") between You and G-ajiri consists of these G-ajiri’s Online service Program Standard Terms and Conditions ("Terms and Conditions"). A description of the services, as generally offered by G-ajiri, is available at the services Frequently Asked Questions ("FAQ") URL, to be added here or such other URL as G-ajiri may provide from time to time. "You" or "client" means that associate entity and or person known in an enrollment type submitted by identical or connected persons, and/or any agency or network acting on its (or their) behalf, which shall also be bound by the terms of this Agreement.

By logging in or using the Services, you confirm your agreement to be bound by these Terms. If you disagree to these Terms, you may not access or use the Services. These Terms expressly supersede prior agreements or arrangements with you. G-ajiri may instantaneously dismiss these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason.

G-ajiri may amend the Terms from time to time. Amendments are effective upon G-ajiri 's posting of such updated Terms and conditions within the amended policies or supplemental terms on the applicable Service(s). Your continued access or use of the Services after such posting confirms your consent to be bound by the Terms, as amended at the time. If G-ajiri changes these Terms after the date you first agreed to the Terms (or to any subsequent changes to these Terms), you may reject any such change by providing G-ajiri written notice of such rejection within 30 days of the date such change became effective, as indicated in the "Effective" date above. This written notice must be provided either (a) by mail from the email address associated with your Account to; insert G-ajiri’s email to be used here. In order to be effective, the notice must include your full name and clearly indicate your intent to reject changes to these Terms. By rejecting changes, you're agreeing that you just can still be sure by the provisions of those Terms as of the date you initially in agreement to the Terms (or to any subsequent changes to these Terms).

Program Participation. Participation in the Program is subject to G-ajiri’s prior approval and Your continued compliance with the Program Policies. G-ajiri reserves the right to refuse participation to any applicant or participant at any time in its sole discretion. By enrolling in the service Program, You represent that You are at least 18 years of age and agree that G-ajiri may serve (a) third party and/or G-ajiri provided advertisements and/or other content that if G-ajiri serves non-compensated content, You will have the ability to opt out of receiving such content as part of the Program.

The Services. The Services comprise provision of freelance and related services (each, an "Application"), which enable users to arrange and schedule for the provision of the services herein, including with third party providers of such services and goods under agreement with Gajiri or certain of G-ajiri 's affiliates ("Third Party Providers"). In some instances the Services may also include an option to provide the services for an additional value, subject to acceptance by the respective Third Party Providers i.e clients. YOU ACKNOWLEDGE THAT YOUR ABILITY TO DELIVER SERVICES THROUGH THE USE OF THE SERVICES DOES NOT ESTABLISH G-AJIRI AS A PROVIDER OF SERVICE, OR DELIVERY SERVICES .

Ownership. The Services and all rights therein are and shall remain G-ajiri 's property or the property of G-ajiri 's licensors. Neither these Terms nor your use of the Services convey or grant to you any rights: (i) in or associated with the Services aside from the restricted license granted above; or (ii) to use or reference in any manner G-ajiri 's company names, logos, product and service names, trademarks or services marks or those of Uber's licensors.

Access and Use of the Services. In order to use most aspects of the Services, you must register for and maintain an active personal user Services account ("Account"). You must be at least 18 years of age, or the age of legal majority in your jurisdiction to obtain an Account, unless a specific Service permits otherwise. Account registration requires you to submit to G-ajiri certain personal information, such as your name, address, mobile phone number and age, as well as at least one valid payment method supported by G-ajiri. You confirm to maintain a correct, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access or use the Services. You are liable for all activity that happens beneath your Account, and you conform to maintain the safety and secrecy of your Account username and positive identification in the slightest degree times.. Unless otherwise permitted by G-ajiri in writing, you may only possess one Account.

User Requirements and Conduct. The Service isn't on the market to be used by persons underneath the age of eighteen. You will not assign or otherwise transfer your Account to the other person or entity. You agree to comply with all applicable laws when accessing or using the Services, and you may only access or use the Services for lawful purposes (e.g., no theft of unlawful or hazardous materials). In some instances you will be asked to produce proof of identity or different technique of identification to access or use the Services, and you agree that you simply may be denied access to or use of the Services if you refuse to produce proof of identity or different technique of identification.

Text Messaging and Telephone Calls. You agree that G-ajiri may contact you by telephone or text messages (including by an automatic telephone dialing system) at any of the phone numbers provided by you or on your behalf in connection with G-ajiri account, including for marketing purposes. You perceive that you simply don't seem to be needed to produce this consent as a condition of buying any property, merchandise or services. User Provided Content. G-ajiri might, in G-ajiri’s sole discretion, permit you from time to time to submit, upload, publish or otherwise make available to G-ajiri through the Services textual, audio, and/or visual content and data, as well as comment and feedback associated with the Services, initiation of support requests, and submission of entries for competitions and promotions ("User Content"). Any User Content provided by you remains your property. However, by providing User Content to G-ajiri, you grant G-ajiri a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publically show, publically perform, and otherwise exploit in any manner such User Content all told formats and distribution channels currently far-famed or hereafter devised (including in reference to the Services and G-ajiri 's business and on thirdparty sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that: (i) you either area unit the only real and exclusive owner of all User Content otherwise you have all rights, licenses, consents and releases necessary to grant G-ajiri the license to the User Content as set forth above; and (ii) neither the User Content, nor your submission, uploading, publishing or otherwise making available of such User Content, nor G-ajiri 's use of the User Content as permissible herein can infringe, defalcate or violate a 3rd party's holding or proprietary rights, or rights of publicity or privacy, or lead to the violation of any applicable law or regulation.

You comply with not offer User Content that's calumniatory, libelous, hateful, violent, obscene, sexy, unlawful, or otherwise offensive, as determined by G-ajiri in its sole discretion, whether or not such material may be protected by law. G-ajiri might, but shall not be obligated to, review, monitor, or remove User Content, at G-ajiri 's sole discretion and at any time and for any reason, without notice to you.

Network Access and Devices. You are accountable for getting the info network access necessary to use the Services. Your mobile network's information and electronic communication rates and charges might apply if you access or use the Services from your device. G-ajiri does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. Parties' Responsibilities. You are entirely accountable for the services, including all content and materials, maintenance and operation thereof, the proper implementation of G-ajiri’s specifications, and adherence to the terms of this Agreement, including compliance with the Policies herein. G-ajiri reserves the right to analyze, at its own discretion, any activity which will violate this Agreement, as well as however not restricted to any use of a package application to access services, Links, Search Results, or Referral Buttons or to complete any Referral Event, or any engagement in any activity prohibited by this Agreement. G-ajiri is not responsible for anything related to the services being offered by you and or to the client including without limitation the receipt of queries from end recipient of your service or the transmission of data between yourself and G-ajiri.

Termination; Cancellation. You may terminate this Agreement with or without cause at any time by sending written notice of your desire to cancel Your participation in either the provision of service to G-ajiri support email here. This Agreement will be deemed terminated within Two (2) business days of G-ajiri 's receipt of Your notice. G-ajiri may investigate any activity that may violate this Agreement. G-ajiri may at any time, in its sole discretion, terminate all or part of the service, terminate this Agreement, or suspend or terminate the participation of any individual and or company in all or part of the service for any reason. In addition,

Confidentiality. You agree not to disclose G-ajiri’s Confidential Information without G-ajiri’s aforementioned written consent. “G-ajiri Confidential Information" includes devoid of limitation: (a) all G-ajiri software, technology, programming, specifications, materials, guidelines and documentation relating to the services; (b) any other information designated in writing by G-ajiri as "Confidential" or an equivalent designation. However, you may accurately disclose the amount of G-ajiri’s gross payments to You pursuant to the services or an amount payable as a client. G-ajiri Confidential Information does not include information which has become publicly acknowledged through no breach by You or G-ajiri, or information that has been (i) independently developed without access to G-ajiri Confidential Information, as evidenced in writing; (ii) rightfully received by You from a third party; or (iii) required to be disclosed by law or by a governmental authority.

No Guarantee. G-ajiri doesn't guarantee that the services are going to be operable the least bit times or throughout any down time (i) caused by outages to any public net backbones, networks or servers, (ii) caused by any failures of Your equipment, systems or local access services, (iii) for previously scheduled maintenance or (iv) relating to events beyond G-ajiri’s (or its wholly owned subsidiaries’) management like strikes, riots, insurrection, fires, floods, explosions, war, governmental action, labor conditions, earthquakes, natural disasters, or interruptions in Internet services to an area where G-ajiri (or its wholly owned subsidiaries) or Your servers are set or co-located.

No Warranty. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." G-AJIRI DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND OR CONDITIONS OF NON-INFRINGEMENT. IN ADDITION, G-AJIRI MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES OR ANY SERVICES OR GOODS REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. G-AJIRI DOES NOT GUARANTEE THE QUALITY, SUITABILITY, SAFETY OR ABILITY OF THIRD PARTY PROVIDERS. YOU AGREE THAT THE WHOLE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

Limitations of Liability; Force Majeure. G-AJIRI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, REGARDLESS OF THE NEGLIGENCE (EITHER ACTIVE, AFFIRMATIVE, SOLE, OR CONCURRENT) OF G-AJIRI, EVEN IF G-AJIRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

G-AJIRI SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY PROVIDER, EVEN IF G-AJIRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. G-AJIRI SHALL NOT BE LIABLE FOR DELAY OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES BEYOND G-AJIRI 'S REASONABLE CONTROL. YOU ACKNOWLEDGE THAT THIRD PARTY SUPPLIERS PROVIDING TRANSPORTATION SERVICES REQUESTED THROUGH SOME REQUEST PRODUCT COULD SUPPLY RIDESHARING OR PEER-TO-PEER TRANSPORTATION SERVICES AND WILL NOT BE PROFESSIONALLY ACCREDITED OR ALLOWABLE.

THE SERVICES MAY BE USED BY YOU TO REQUEST AND SCHEDULE TRANSPORTATION, GOODS, OR LOGISTICS SERVICES WITH THIRD PARTY PROVIDERS, BUT YOU AGREE THAT G-AJIRI HAS NO RESPONSIBILITY OR LIABILITY TO YOU ASSOCIATED WITH ANY TRANSPORTATION, GOODS OR LOGISTICS SERVICES PROVIDED TO YOU BY THIRD PARTY PROVIDERS OTHER THAN AS EXPRESSLY SET FORTH IN THESE TERMS.

THE LIMITATIONS AND DISCLAIMER DURING THIS SECTION DON'T PURPORT TO LIMIT LIABILITY OR ALTER YOUR RIGHTS AS A CLIENT THAT CAN'T BE EXCLUDED UNDERNEATH APPLICABLE LAW.

EACH PARTY ACKNOWLEDGES THAT THE OTHER PARTY HAS ENTERED INTO THIS AGREEMENT COUNTING ON THE CONSTRAINTS OF LIABILITY DECLARED HEREIN WHICH THOSE LIMITATIONS AREA UNIT A VITAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. WITHOUT LIMITING THE PRECEDING AND APART FROM PAYMENT OBLIGATIONS, NEITHER PARTY SHALL HAVE ANY LIABILITY FOR ANY FAILURE OR DELAY RESULTING FROM ANY CONDITION BEYOND THE REASONABLE CONTROL OF SUCH PARTY, TOGETHER WITH HOWEVER NOT RESTRICTED TO GOVERNMENTAL ACTION OR ACTS OF TERRORIST ACT, EARTHQUAKE OR DIFFERENT ACTS OF GOD, LABOR CONDITIONS, AND POWER FAILURES.

Payment. You understand that use of the Services may result in charges to you for the services or goods you receive herein referred to as “charges”. G-ajiri will receive and/or enable your payment of the applicable Charges for services or goods obtained through your use of the Services and or you offering the service. Charges are inclusive of applicable taxes wherever needed by law. Charges may include other applicable fees including a booking fee, subscription fee, or processing fees for split payments. All Charges and payments will be enabled by G-ajiri using the preferred payment method designated in your Account, after which you will receive a receipt by email. If your primary Account payment method for subscription is determined to be expired, invalid or otherwise not able to be charged, you agree that G-ajiri may use a secondary payment method in your Account, if available. Charges paid by you are final and nonrefundable, unless otherwise determined by G-ajiri.

As between you and G-ajiri, G-ajiri reserves the right to establish, remove and/or revise Charges and or subscription fee for any or all services or goods obtained through the use of the Services at any time in G-ajiri’s sole discretion. Further, you admit and agree that Charges applicable in certain geographical areas may increase substantially depending with the availability of the service provider in that area. G-ajiri can use affordable efforts to tell you of Charges that will apply, providing you'll be liable for Charges incurred underneath your Account no matter your awareness of such Charges or the amounts thereof. G-ajiri may from time to time arrange for certain clients and or users with promotional offers and discounts that may result in different amounts charged for the same or similar services or merchandise obtained through the employment of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the costs applied to you. You may elect to cancel your subscription for Services and or to provide services at any time prior to the commencement of such Services, in which case you may be charged a cancellation fee on a 3rd Party Provider’s behalf. After you've got received services or merchandise obtained through the Service, you will have the opportunity to rate your experience and leave additional feedback. G-ajiri may use the ensues of any Charges for any purpose, subject to any payment obligations it has agreed to with any Third Party Providers or other third parties.

In certain cases, with respect to Third Party Providers, charges you incur will be owed directly to Third Party Providers, and G-ajiri will collect payment of those charges from you, on the Third Party Provider’s behalf as their limited payment agent, and payment of the Charges shall be considered the same as payment made directly by you to the Third Party Provider. In such cases, you retain the right to request lower Charges from a Third Party Provider for services or goods received by you from such Third Party Provider before you receive such services or merchandise, and Charges you incur will be owed to the Third Party Provider. G-ajiri will respond accordingly to any request from a Third Party Provider to modify the Charges for a specific service or good. This payment structure is intended to fully pay compensation a Third Party Provider, if applicable, for the services or goods obtained in connection with your use of the Services. In all other cases, charges you incur will be owed and paid directly to G-ajiri or its affiliates, where G-ajiri is solely liable for any obligations to Third Party Providers. In such cases, you retain the right to request lower Charges from G-ajiri for services or goods received by you from a Third Party Provider at the time you receive such services or goods, and G-ajiri will answer back accordingly to any request from you to modify the Charges as a client for a particular service or good. Except with respect the negotiation as between you the service provider and or the client for any services requested through the Application, G-ajiri does not designate any portion of your payment as a tip or gratuity to a 3rd Party supplier. Any representation by G-ajiri (on G-ajiri’s website, in the Application, or in G-ajiri marketing materials) to the effect that tipping is "voluntary," "not required," and/or "included" in the payments you make for services or goods provided is not intended to suggest that G-ajiri provides any additional amounts, beyond those labelled above, to a Third Party Provider you may use. You understand and agree that, while you are free to provide additional payment as a token to any Third Party Provider who provides you with services or goods obtained through the Service, you are under no obligation to do so. The Gratuities you choose to offer are voluntary.

G-ajiri reserves the correct to withhold payment or charge back Your account thanks to any of the preceding or any breach of this Agreement by You, pending G-ajiri’s reasonable investigation of any of the foregoing or any breach of this Agreement by You, or in the event that a client who subscribes and requests for services from any service provider defaults on payment after such services have been offered to them. In addition, if You are past due on any payment to G-ajiri in connection with any G-ajiri services, G-ajiri reserves the right to withhold payment until all outstanding payments have been made or to offset amounts owed to You in connection with the services by amounts owed by You to G-ajiri. To ensure correct payment, you're entirely liable for providing and maintaining correct address and alternative contact data furthermore as payment data related to Your account.

Publicity. You agree that G-ajiri may use Your name and testimonials in presentations, marketing materials, customer lists, financial reports, Web site listings of customers and or service providers, Search Results Pages, and Referral Pages.

Representations and Warranties. You represent and warrant that (a) all of the information provided by You to G-ajiri to register in with G-ajiri is correct and current; (b) You are the owner of the documents or You are legally authorized to act on behalf of the owner of such documents and or company for the purposes of this Agreement and the services you are seeking; (c) You have all necessary right, power, and authority to enter into this Agreement and to perform the acts required of You hereunder; and (d) You have complied and will continue to comply with all applicable laws, statutes, and or regulations in Your performance of any acts hereunder. In addition, to the extent that you provide services (1) You represent and warrant that You have attained the requisite qualifications to provide and or offer such services (including all content therein, including without limitation any testimonials issued) for the purposes of this Agreement and the services offered herein; and (2) You shall ensure that any documents that constitute the Site shall comply with the terms and conditions set forth herein. You further signify and warrant that each qualifications and any material displayed therein: (i) comply with all applicable laws, statutes, ordinances, and regulations; (ii) in the strict sense not breach and have not breached any responsibility toward or rights of any specific person or body including, without restriction, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories.

Indemnity. You agree to indemnify and hold G-ajiri and its affiliates and their officers, directors, employees, and applicable third parties (e.g. relevant advertisers, syndication partners, licensors, licensees, consultants and contractors) (collectively "Indemnified Person(s)") and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys' fees), arising out of or in association with: (i) your use of the Services or services or goods obtained through your use of the Services; (ii) your breach of any term of this Agreement; (iii) G-ajiri’s use of your User Content; or (iv) your violation of the rights of any third party, including Third Party Providers and the sub-contractors.

Information Rights. G-ajiri may retain and use, subject to the terms of the G-ajiri Privacy Policy, all information You provide, including but not limited to contact and billing information. You approve that G-ajiri may transfer and disclose to third parties including the clientele the contact information about You for the purpose of approving and enabling Your participation in the Program of provision of services, including to third parties that reside in jurisdictions with less restrictive data laws than your jurisdiction. G-ajiri may also give out your contact information in response to valid legal process, such as search warrants and court orders, or to establish or exercise its legal rights or defend against legal claims. G-ajiri disclaims all responsibility, and will not be liable to You, however, for any disclosure of that information by any such third party.

Notices. G-ajiri may give notice by means of a general notice on the Services, electronic mail to your email address in your Account, telephone or text message to any phone number provided in association with your account, or by written communication sent by first class mail or prepaid post to any address related with your Account. A notice shall be considered to have been made upon the expiration of 24 hours after mailing or posting (if sent by first class mail or prepaid post) or 24 hours after sending (if sent by email or telephone). You may give notice to Gajiri, with such notice deemed given when received by G-ajiri, at any time by first class mail or pre-paid post to our contact address in the website.

Miscellaneous. This Agreement shall be governed by the laws of Kenya. Any dispute or claim arising out of or in connection with this Agreement shall being dealt in Kenyan Courts. This Agreement constitutes the entire agreement between you and G-ajiri with respect to the subject matter hereof. Any alterations to this Terms must be made in a writing by both parties and by Your online acceptance of updated terms, or after Your continued participation in the Program after such terms have been updated hereof by G-ajiri. G-ajiri's failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by G-ajiri in writing. If any provision herein cannot be enforced, then such provision will be altered to reflect the parties' intention, and the remaining provisions of this Agreement will remain in full force and effect under the law. You may not resell, allocate, or transfer any of Your rights hereunder to any party and any such attempt may result in termination of this Agreement, without liability to G-ajiri. G-ajiri may assign these terms without your agreement to: (i) a subsidiary or affiliate; (ii) an acquirer of G-ajiri’s equity business or assets; or (iii) a successor by meger. The relationship between G-ajiri and You is not one of a legal partnership relationship, but is one of independent contractors.
